  • We will use reasonable efforts to meet agreed timelines and deliverables
  • Client cooperation and timely provision of necessary information is required

3. Client Responsibilities

3.1 Access and Information

  • Provide necessary access to systems and platforms
  • Share relevant business information and requirements
  • Maintain appropriate security measures for shared credentials

3.2 Compliance

  • Ensure compliance with applicable laws and regulations
  • Maintain necessary licenses and permissions for integrated platforms
  • Follow security best practices for automated systems

4. Intellectual Property

4.1 Ownership

  • Client retains ownership of their data and existing systems
  • FlowAsync retains ownership of custom code and automation solutions developed
  • Shared intellectual property rights are subject to separate agreement

4.2 License

  • Upon full payment, client receives a non-exclusive license to use developed solutions
  • License is limited to client’s business use
  • No transfer or sublicensing without written consent

5. Payment Terms

5.1 Fees

  • Fees are based on agreed scope and deliverables
  • Additional services may incur additional charges
  • All fees are exclusive of applicable taxes

5.2 Payment Schedule

  • Payment terms are as specified in individual agreements
  • Late payments may incur interest charges
